Fox Factory is set to purchase Race Face and with it, Easton's bicycle components business. Race Face purchased Easton in April this year. Race Face/Easton designs, manufactures, and distributes globally high-performance wheels for mountain and road bikes as well as other high-performance cycling components including bars, cranks, stems and seat posts. On a combined basis, Race Face/Easton generated net sales of around $23.6 million and adjusted Ebitda of around $4.3 million in its fiscal year ended Oct. 31. Fox will acquire Race Face/Easton in an asset purchase transaction for around $30.2 million. The transaction is not yet completed and Fox anticipates it will close by the end of 2014. Fox expects the investment in Race Face/Easton to strengthen its infrastructure and maximize the long-term business performance.
