Sun Capital owns 9.9 percent of Kellwood Company, parent company of Sierra Designs. It has made an unsolicited $543.4 million bid for the rest of the shares at $21 each, charging that it was worried about inconsistent financial performance. Standard & Poor’s has placed Kellwood on negative watch, suggesting that its acquisition by Sun Capital would add significant debt to the company’s already leveraged balance sheet. Earlier this month, Kellwood announced it would take $15-20 million in restructuring charges for the re-organization of its women’s sportswear business and a decision to focus its Phat Farm brand on licensing.
