VF Corporation has added Caroline Brown to its board of directors.
This move comes after VF engaged with its shareholders, including Engaged Capital, in productive discussions. According to a statement released by the company, VF plans to appoint another independent director to the board soon, prioritizing candidates identified by Engaged Capital.
With Brown’s appointment, VF’s board will have a total of 13 directors, with no more than 11 of VF’s current directors remaining.
Richard Carucci, Chair of the VF board, expressed confidence in Brown’s abilities, citing her extensive experience in the apparel industry. Brown brings over three decades of experience with global companies in the apparel and fashion sector.
From 2019 to 2023, Brown served as a Managing Director at Closed Loop Partners, where she led the firm’s fashion practice. Prior to that, she held leadership roles at Donna Karan International, DKNY, Carolina Herrera and Akris, among others.
“I believe VF has what it needs to return to strong and sustainable profitable growth, and I look forward to capitalizing on my experience to help the company deliver enhanced value for shareholders over time,” said Brown.
Brown’s resume includes service on the boards of various innovative fashion companies and advisory roles at institutions like the MIT Sloan Sustainability Initiative and the Martin Trust Center for Entrepreneurship at MIT’s Sloan School of Management.
