Premium performance products manufacturer Fox Factory Holding Corp. will appoint two new independent directors and form a board-level transformation committee following a cooperation agreement with activist investor Engine Capital, the company announced on Feb. 9.
New directors bring value creation expertise
Alan L. Bazaar, currently CEO and Co-Chief Investment Officer of Hollow Brook Wealth Management, will join Fox Factory’s board immediately. Bazaar brings extensive public company board experience and expertise in capital allocation and value creation strategies.
A second independent director with operational expertise in manufacturing excellence and margin improvement will be identified by Engine Capital in collaboration with the board, which will approve the appointment. The joint selection process underscores the cooperative nature of the agreement and ensures the incoming director brings both operational capabilities and board alignment.
Both appointments signal the company’s focus on translating its premium brand portfolio and innovation capabilities into stronger financial performance.
Transformation committee targets profitability
The newly formed transformation committee will provide oversight of management’s execution on operational improvement initiatives targeting enhanced profitability, working capital efficiency, and disciplined capital allocation.
Sidney Johnson will chair the committee, which will include both new directors and an additional existing independent director. The structure ensures accountability as Fox Factory executes operational initiatives currently under comprehensive review by the board and management.
